General Sales Terms of MeatBorsa
Article 1: Applicability
  • 1.1 These Sales Terms ("Terms") apply to all sales conducted between MeatBorsa ("the Seller") and any purchaser ("the Buyer"), unless explicitly stated otherwise in a written agreement.
  • 1.2 Each individual sale is conducted based on an individual offer prepared by the Seller and sent to the Buyer in the form of a sales order. By signing/confirming the Sales Order/Confirmation, the Buyer accepts the order, and the contract is considered concluded. By confirming the Sales Order, the Buyer accepts these terms and conditions
  • 1.3 Modifications to these Terms are only valid when agreed upon in writing.
  • 1.4 The Seller may subcontract obligations to third parties; these Terms shall apply to such arrangements.
  • 1.5 Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. The parties will negotiate a valid replacement provision mirroring the original's intent.
  • 1.6 Interpretation uncertainties or situations not covered by these Terms will be resolved in accordance with these Terms' spirit.
  • 1.7 These Terms exclude the applicability of any Buyer's terms and conditions.
Article 2: Pricing and Payment
  • 2.1 Prices are quoted from our stock location and are exclusive of VAT and any related costs (shipping, insurance, etc.), unless stated otherwise.
  • 2.2 The costs of packaging the goods for shipment are borne by the Buyer and are included in the invoice.
  • 2.3 The Seller reserves the right to adjust prices or terms in response to unforeseeable cost changes affecting contract fulfillment.
  • 2.4 Payment terms are 30 days from the invoice date. Unpaid amounts are subject to a finance charge of 0,066% per day on any outstanding balance.
Article 3: Delivery
  • 3.1 The delivery terms are carried out in accordance with the Incoterms clause specified in the order, as long as it does not contradict these general terms and conditions. In case of contradiction, the conditions specified in these general terms and conditions shall apply.
Article 4: Force Majeure
  • 4.1 The Seller is not liable for delays or non-performance caused by force majeure.
  • 4.2 Obligations are suspended during force majeure, with rights to contract termination if it persists beyond two months.
  • 4.3. To the extent that the Seller has partly performed its obligations arising from the contract or is able to partly perform same at the time that the situation of force majeure first occurs, and that part performed or to be performed has independent value, the Seller will be entitled to separately invoice for the part performed or to be performed. The Buyer will be obliged to pay that invoice as though it pertained to a separate contract.
Article 5: Claims and Liability
  • 5.1 The Buyer, in accordance with the selected Incoterms delivery clause, must inspect goods upon receipt and report defects within 48 hours for frozen products and 24 hours for non-frozen goods, including compliance with safety standards.
  • 5.2 The Seller's liability for defects is limited to refund. The Seller is not liable for indirect losses, such as lost profits or savings or claims by third parties.
  • 5.3 Kindly be advised that compliance with the following conditions is a prerequisite for the consideration of any claims. The recipient of the goods is hereby obligated to:
  • 5.3.1 The Client must issue and provide an electronic weighbridge list indicating the weight of the received goods (this is essential in cases of discrepancies in the weight of the product(s));
  • 5.3.2 Verify and confirm the exact number and type of pallets/hooks received (e.g., one-way, wooden, Euro, etc.);
  • 5.3.3 Ensure the driver's presence during the unloading process.
  • 5.3.4 Failure to comply with any one of the three conditions will result in claims not being accepted.
Article 6: Notices
  • 6.1 Any notifications related to the performance of the contract, including claims under Article 5, should be sent to the Seller in writing to the following email address: [email protected]
Article 7: Disputes and Governing Law
  • 7.1 These Terms and any disputes arising from them will be examined and resolved by the competent Bulgarian court in accordance with Bulgarian law.
  • 7.2 The parties will seek to resolve disputes amicably before resorting to litigation.
Article 8: Amendments and Privacy
  • 8.1 The Seller's privacy policy complies with applicable data protection regulations and is available upon request.
  • 8.2 All provided documentation (price lists, product details, etc.) is confidential and for contract purposes only. They must be returned or destroyed post-contract and kept secret indefinitely.
